Confidentiality & Mutual Non-Disclosure Agreement
This Confidentiality and Mutual Non-Disclosure Agreement (“Agreement”) is entered into between:
Stephen James Hall (“Receiving Party”)
and
Your Business (“Disclosing Party”)
The parties wish to explore a potential business relationship involving website development, search engine optimization (SEO), information architecture, web standards consulting, accessibility, software development, graphic design, multimedia, e-commerce, digital marketing, or related professional services. In the course of these discussions, either party may disclose confidential or proprietary information.
Confidential Information
Both parties agree that any non-public business, technical, financial, strategic, or proprietary information disclosed during discussions or collaboration, whether communicated orally, electronically, visually, or in writing, shall be treated as confidential.
Use of Confidential Information
Confidential information shall be used solely for the purpose of evaluating, developing, or performing the contemplated business relationship. Neither party shall disclose or use confidential information for any other purpose without the prior written consent of the disclosing party.
Exceptions
This Agreement does not apply to information that:
- Is publicly available through no breach of this Agreement.
- Was lawfully known by the receiving party before disclosure.
- Is independently developed without reference to the confidential information.
- Is lawfully obtained from a third party without confidentiality obligations.
Protection of Information
Each party agrees to exercise reasonable care in protecting confidential information and to limit access only to those individuals who reasonably require it for the intended business purpose.
Return or Destruction of Information
Upon completion of the business relationship, or upon written request, each party shall promptly return or securely destroy confidential materials in its possession, except where retention is required by law or for ordinary archival backup purposes.
Intellectual Property
Nothing contained in this Agreement transfers ownership of copyrights, trademarks, patents, trade secrets, or other intellectual property. All intellectual property remains the property of its respective owner unless otherwise agreed in writing.
No Obligation to Proceed
This Agreement does not require either party to enter into any business relationship, contract, or future collaboration.
Term
This Agreement shall remain in effect for three (3) years from the date of execution unless superseded by a subsequent written agreement between the parties.
